About Ingenia (ASX:INA)

Ingenia Communities Group is an ASX-listed property group headquartered in Sydney. It owns, operates and develops land lease communities, rental villages and holiday parks across Australia, serving seniors' housing and domestic tourism markets. The group is a stapled entity comprising a company and two managed investment schemes.

Ingenia (ASX:INA) received a higher non-binding proposal from Warburg Pincus and has begun the matching right process that gives rival bidder AVID the chance to respond.

Warburg Pincus, with its co-investors, proposes to acquire 100% of Ingenia's stapled securities at $5.45 cash per stapled security, not reduced by a half-year distribution of up to $0.05, for a total of up to $5.50 cash. That is an increase of $0.10 on the AVID Property Group Holdings Pty Ltd proposal announced on 26 October 2026. Discovery Parks Holdings Pty Ltd is proposed to acquire the holiday parks business and LDR Capital Pty Ltd the gardens business. The Ingenia Board has determined that the proposal is or could reasonably be considered to become a 'Superior Proposal' under the fiduciary out in the AVID Process Deed, and has again given Warburg Pincus due diligence access. Ingenia is inviting AVID to make a matching or superior counterproposal on or before Sunday, 1 November 2026, and the AVID Process Deed remains operative. Conditions include satisfactory due diligence, binding debt finance commitments, final investment committee approval, FIRB and ACCC approval, and termination of the Peet scheme implementation deed.

The Board has not determined the proposal is a 'Bidder Superior Proposal' under the Peet SID or indicated it will recommend it. There is no certainty any transaction will eventuate.
