About Ingenia (ASX:INA)
Ingenia Communities Group is an ASX-listed property group headquartered in Sydney. It owns, operates and develops land lease communities, rental villages and holiday parks across Australia, serving seniors' housing and domestic tourism markets. The group is a stapled entity comprising a company and two managed investment schemes.
Ingenia (ASX:INA) disclosed amended terms from Warburg Pincus, which has declared its $5.25 cash per stapled security non-binding proposal best and final and is seeking exclusive due diligence and a Board confirmation by 19 October 2026.
Warburg Pincus reconfirmed the terms of its Further Revised Indicative Proposal to acquire 100% of Ingenia via a scheme of arrangement after reviewing initial due diligence materials, which Ingenia had agreed to provide on a non-exclusive basis, as announced on 5 October 2026. Securityholders would be permitted to retain the distribution for the half year ending 31 December 2026, up to a maximum of $0.05 cash per stapled security, without a reduction to the price. The price, as amended, is declared best and final in the absence of a superior proposal. Before exclusive due diligence starts, Warburg Pincus requires the Ingenia Board to confirm that the proposal would, if completed in accordance with its terms, be more favourable to securityholders than Ingenia's proposed acquisition of Peet Limited, subject to confirmatory due diligence, mutually agreed definitive documentation and there being no superior proposal. That confirmation, and exclusive access to the outstanding due diligence materials, must be provided no later than Monday, 19 October 2026.
The proposal remains non-binding. The Ingenia Board has not formed a view on its merits or the acceptability of the conditions, makes no recommendation, and says there is no certainty that a binding offer or any transaction will eventuate.
