About Ingenia (ASX:INA)

Ingenia Communities Group is an ASX-listed property group headquartered in Sydney. It owns, operates and develops land lease communities, rental villages and holiday parks across Australia, serving seniors' housing and domestic tourism markets. The group is a stapled entity comprising a company and two managed investment schemes.

Ingenia (ASX:INA) announced that AVID has exercised its matching right and raised its non-binding proposal to match the latest Warburg Pincus proposal, keeping AVID's process deed with Ingenia on foot.

On 1 November 2026 AVID Property Group Holdings provided a revised non-binding indicative proposal of $5.45 cash per stapled security, up from $5.35 under its proposal announced on 26 October 2026. That price will not be reduced by the Permitted Distribution of up to $0.05, so securityholders would receive a total of up to $5.50 cash per stapled security, matching the latest Warburg Pincus proposal of $5.45 cash plus any Permitted Distribution. The Ingenia Board determined in good faith that the Revised AVID Proposal would provide an equal or superior outcome to securityholders as a whole compared with the Warburg Pincus proposal. As a result, the AVID Process Deed remains on foot and Ingenia has terminated Warburg Pincus' access to due diligence. Other terms of the AVID proposal are unchanged.

The Board has not determined that the Revised AVID Proposal is a Bidder Superior Proposal under its scheme implementation deed with Peet, has not indicated it intends to recommend it, and continues to work towards acquiring Peet. There is no certainty of a formal binding offer.
