About Ingenia (ASX:INA)
Ingenia Communities Group is an ASX-listed property group headquartered in Sydney. It owns, operates and develops land lease communities, rental villages and holiday parks across Australia, serving seniors' housing and domestic tourism markets. The group is a stapled entity comprising a company and two managed investment schemes.
Ingenia (ASX:INA) has received an unsolicited, non-binding takeover proposal from AVID Property Group that competes with its agreed deal to acquire Peet, and has granted AVID up to six weeks of soft exclusivity.
AVID, with backing from a global sovereign wealth fund and a global financial sponsor, proposes to acquire 100% of Ingenia's stapled securities by scheme of arrangement and inter-conditional trust scheme at $5.35 cash per stapled security. AVID proposes this would not be reduced by a distribution of up to $0.05 for the half year ending 31 December 2026, giving a total of up to $5.40 cash. The proposal is conditional on due diligence, a unanimous Ingenia Board recommendation, an agreed scheme implementation deed including FIRB and ACCC approvals, approval by AVID's board and investment committee, and Ingenia terminating its 26 August 2026 scheme implementation deed with Peet Limited. AVID intends to fund the proposal through equity and debt, with no financing condition in definitive documents, and intends to transfer Ingenia's holiday parks business to Tasman Holiday Parks or its nominee after implementation. Ingenia has terminated Warburg Pincus' access to its data room.
The Board has not determined that the proposal is a Bidder Superior Proposal under the Peet deed, has not indicated it will recommend it, and continues to work towards the Peet acquisition. Terminating the Peet deed for a superior proposal would cost a $10 million reverse break fee. There is no certainty of a binding proposal.
