The Further Revised Indicative Proposal follows earlier Warburg Pincus indicative proposals at $4.75 and $5.05 per stapled security. It is expressed as conditional on the Ingenia board, by no later than Friday 2 October 2026, agreeing terms for full due diligence and confirming in writing, before due diligence starts, an intention to recommend the proposal subject to mutually agreed definitive documentation and customary qualifications on a superior proposal and an independent expert concluding it is in securityholders' best interests. It is also conditional on Ingenia terminating the Peet Scheme Implementation Deed on entry into a Scheme Implementation Deed with Warburg Pincus; satisfactory due diligence expected to need no more than 6-8 weeks; an exclusivity period including an initial four weeks of hard exclusivity then a fiduciary out; binding acquisition debt finance; final investment committee approval; and other customary documentation and regulatory approvals. The board is assessing the proposal with its advisers and has not yet formed a view on its merits or the conditions, and is making no recommendation at this time.
The board notes there is no certainty the proposal will result in a formal binding offer or any transaction. Securityholders do not need to take any action.
