As contemplated by that deed, EQT has given written confirmation that nothing has arisen in due diligence that is likely to cause it not to proceed on the Proposal terms, that it does not intend to make variations that would make the Potential Transaction less favourable to Cleanaway shareholders, and that it is committed to proceed for consideration no less than the indicative offer price and to enter an implementation deed on or before expiry of the exclusivity period. The hard exclusivity period has now concluded, being 20 Business Days after 17 August 2026. EQT is continuing confirmatory due diligence and the parties are working toward negotiation and execution of an implementation deed.
