About SEEK (ASX:SEK)
SEEK Limited is an ASX-listed online employment marketplace operator headquartered in Melbourne. It runs job advertising and recruitment platforms that connect hirers with candidates in Australia, New Zealand and across Asia, earning revenue mainly from paid job advertisements and related hiring products. It also holds an interest in the SEEK Growth Fund, which invests in early and growth stage technology companies.
SEEK (ASX:SEK) has set out unitholder-approved Stage 2 arrangements for the SEEK Growth Fund from 1 November 2026, tying the manager's carried interest to returning cash to investors as SEEK seeks liquidity and a smaller stake.
Fund investments are split into Core Assets valued at $1.25bn and Non-Core Assets valued at $499m, both on a September 2026 valuation. Carried interest for Stage 2 is payable only if at least $840m of liquidity is made available to investors, approximately $700m for SEEK based on current holdings and pro rata distribution. Until then the Fund must distribute at least 80% of net proceeds. Carried interest applies to Core Assets only, at a rate of 17.5% over an 8% per annum hurdle, reduced if the liquidity is delayed beyond Stage 2. Core Assets carry a 1.6% per annum management fee, while Non-Core Assets pay a 1.5% transaction fee on sales to 1 November 2028 and 0.5% after. SEEK's management fees fall to approximately $17m per year from $18m, and the $5m fee on SEEK-owned assets no longer applies. SEEK will make no further capital contributions, so its 83.8% ownership is expected to reduce over time.
The Fund is focused on a potential near-term sale of investments valued at more than $1bn, but the release does not announce any sale, and timing and amount of liquidity depend on performance, market conditions, valuations and execution.
