Sunrise Energy Metals (ASX:SRL) entered a Scheme Implementation Deed with newly incorporated Delaware corporation Sunrise Energy Metals, Inc. (Holdco) to redomicile the group parent from Australia to the United States and list Holdco shares on Nasdaq, with Holdco CDIs listed on ASX.

Under the proposed members' scheme, eligible shareholders would receive one Holdco CDI (default ASX-listed consideration) or, by election, one Holdco Nasdaq share per Sunrise share, with no change to proportional interests. Nasdaq would be the primary listing and ASX secondary; Sunrise shares would cease trading on ASX. The company links the pathway to its conditional OSC commitment of up to US$400 million for Syerston, which remains non-binding and subject to definitive documents, due diligence and other conditions. Implementation is subject to shareholder and Federal Court approval, FIRB, an Independent Expert concluding the Scheme is in shareholders' best interests, SEC registration effectiveness, and Nasdaq and ASX listing approvals. Business, assets and projects are not expected to change; directors and senior management are expected to continue in corresponding Holdco roles subject to SEC, Nasdaq or OSC facility requirements.

A Scheme Booklet with the Independent Expert's Report is still to come; shareholders need take no action now. Implementation is not assured.
