Global Lithium Agrees A$1.15 Cash Scheme with Titan

Global Lithium Resources Limited (ASX:GL1) has entered a binding Scheme Implementation Deed with Titan Australia Mining Pty Ltd under which Titan proposes to acquire 100% of Global Lithium by scheme of arrangement for cash consideration of A$1.15 per share.

The Offer Price values Global Lithium's fully diluted equity at approximately A$333 million and represents a 73% premium to the last traded price of A$0.665 on 18 September 2026, a 78% premium to the 10-day VWAP of A$0.646, and a 71% premium to the 30-day VWAP of A$0.674. Titan is part of Titan Lithium, a UAE-headquartered critical minerals group. The Titan Lithium Group is providing a bridging facility of up to A$120 million so Global Lithium can continue Manna Lithium Project development during the Scheme. Global Lithium directors unanimously recommend shareholders vote in favour, in the absence of a superior proposal and subject to an Independent Expert concluding the Scheme is in the best interests of shareholders; directors controlling 12.5% of shares intend to vote in favour on the same basis. Conditions include that Independent Expert conclusion, shareholder approval at a meeting expected in late December 2026 (at least 75% of votes cast and a majority by number), and regulatory approvals including from the Foreign Investment Review Board. The Scheme is not subject to financing or due diligence conditions.

The Independent Expert's conclusion is not yet available, and implementation remains subject to the stated conditions.
