About Avenira (ASX:AEV)
Avenira Limited is an ASX-listed fertiliser and phosphate development company headquartered in West Perth. Its principal project is the Wonarah Phosphate Project in the Northern Territory, which it is advancing toward direct shipping ore production and export via Darwin Port.
Avenira (ASX:AEV) has entered a four-year Wonarah phosphate rock offtake and Mainland China distribution agreement with Hebang Biotechnology (Hong Kong) Investment Limited.
Annual offtake quantity is 500,000 wet metric tonnes in each full contract year from commercial commencement, covering more than 80% of expected annual DSO production of about 600,000 tonnes. Hebang will act as exclusive distributor in Mainland China if it buys at least 90% of available offtake each year. Pricing uses a market-referenced framework, with a Minimum FOB Netback still to be finalised after product qualification. Avenira may pursue superior third-party offers outside Mainland China subject to Hebang's right to match. Hebang is a related party and substantial shareholder through Sichuan Hebang, Avenira's controlling shareholder. Conditions precedent include product qualification, pricing finalisation, project approvals, Darwin Port logistics arrangements, Hebang credit support, and regulatory, board and shareholder approvals including Listing Rule 10.1 with an Independent Expert's Report.
Commercial commencement depends on conditions precedent that must be satisfied or waived by 30 September 2027 unless the parties agree otherwise. Detailed pricing and product specifications remain to be agreed after qualification.
