oOh!media Limited (ASX:OML) has announced that the Australian Competition and Consumer Commission has determined that the proposed Scheme acquisition by BidCo may be put into effect, clearing an ACCC condition of the Scheme Implementation Agreement.

BidCo is owned and controlled by funds managed and/or advised by I Squared Capital and its affiliates. The Scheme was announced on 10 August 2026. Approvals from the Foreign Investment Review Board and New Zealand's Overseas Investment Office are continuing to progress. oOh! currently expects to dispatch a Scheme Booklet containing detailed Scheme information to shareholders in early October 2026, with a meeting of shareholders to consider the Scheme expected in early November 2026. The Board continues to unanimously recommend that shareholders vote in favour of the Scheme, excluding David Ferrarin who has abstained due to a potential conflict of interest, in the absence of a Superior Proposal and subject to the independent expert concluding (and continuing to conclude) that the Scheme is in the best interests of oOh! shareholders.

The release does not restate the Scheme consideration, and FIRB and OIO clearances remain outstanding.
