Holdings Limited (ASX:NEC) has released a letter it received from Birketu Pty Ltd, dated 3 September 2026, disclosing that the WIN Group acquired 47,012,885 Nine shares on market between 27 August and 3 September 2026. The WIN Group is described in the letter as Bruce Gordon, Birketu Pty Ltd, WIN Corporation Pty Ltd and the associates of WIN Corporation Pty Ltd; the accompanying Form 604 lists those associates in its Annexure B. As a result of the acquisitions, the WIN Group's voting power in Nine has increased from 22.98 per cent to 25.94 per cent, and its aggregate economic interest in Nine shares has increased from 28.22 per cent to 31.18 per cent. The accompanying Form 604 records the person's votes rising from 364,337,365 to 411,350,250 fully paid ordinary shares and gives 1 September 2026 as the date of the change in the substantial holder's interests.

The letter states that the increase in the aggregate economic interest results from the new share acquisitions, and that the WIN Group's economic interest held through existing cash settled equity swap transactions, covering 83,162,635 shares, remains unchanged. Those swaps, together with a then relevant interest in 364,337,365 shares of which Birketu was the registered holder, were disclosed in a letter dated 15 April 2026, which was also the date of the previous substantial holder notice. Birketu said the disclosure is made in accordance with Takeovers Panel Guidance Note 20 and for the purposes of section 671B(1) of the Corporations Act 2001 (Cth), and asked Nine to disclose the letter to the ASX immediately so that the market is appropriately informed of the WIN Group's current position. The letter was signed by Company Secretary Chris Halios-Lewis.
