It also runs a funds management business for institutional and retail clients, and invests the assets backing its annuity liabilities across fixed income, credit and property.
Challenger (ASX:CGF) has disclosed a non-binding, conditional proposal from TAL Daiichi Life Australia, a subsidiary of Daiichi Life Group, to take full ownership of the company, which its Board is now considering.
TAL Daiichi Life Australia Pty Limited (TDA) has proposed to acquire the remaining 79.5% of Challenger ordinary shares it does not already own, increasing its ownership to 100%, by way of a scheme of arrangement at $11.80 per share. Challenger notes the price represents a 17.7% premium to its one-month volume weighted average price of $10.03. The proposal was received after market close on Friday 16 October 2026. Challenger says shareholders do not need to take any action.
The proposal is subject to conditions including satisfactory completion of due diligence, entry into a scheme implementation agreement on acceptable terms, approval from various regulatory bodies and a Board recommendation. The Board has not made a recommendation, and Challenger says there is no certainty the proposal will result in a binding offer or that any transaction will eventuate. The release does not state a timetable.
