Bannerman Energy Ltd (ASX:BMN) has completed its strategic investment and joint venture with CNNC Overseas Limited (CNOL) for the funding, development and operation of the Etango Uranium Project in Namibia. CNOL is a subsidiary of China National Uranium Corporation and part of China National Nuclear Corporation.

CNOL's strategic investment of US$320.4 million is complete, comprising a US$294.5 million investment into Bannerman Energy (UK) Ltd (JVCo) and a US$25.9 million reimbursement payment to Bannerman. CNOL now holds a 45% interest in JVCo, which owns 95% of Etango, delivering underlying project economic ownership of 52.25% Bannerman, 42.75% CNOL and 5% (loan-carried) One Economy Foundation. A Shareholders Agreement has been executed, and CNOL is to purchase 60% of Etango production on arm's-length, market-based terms. Early works are tracking in line with budget and schedule, with Final Investment Decision and commencement of full-scale construction expected during Q4 2026. After transaction fees, Bannerman estimates pro-forma cash of about A$174 million (excluding liquid investments and JVCo cash), and JVCo cash is about US$303 million, including about N$140 million held in Namibia.

FID and full-scale construction remain expected in Q4 2026 and have not yet occurred.
